Please read these Terms of Service (“Terms”), Beta Service Testing Terms (“Beta Terms” incorporated in the Terms), which set forth the legally binding terms and conditions between you and Ladder Technology Systems GH Limited (‘Ladder” or ‘we’, ‘our’ or ‘us’). It governs your access to and the use of Ladder’s website, mobile application and the services provided by Ladder.
Our collection and use of your personal information in connection with your use of our services are described in our Privacy Policy.
Your access to use our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, business owners, and any other person who accesses or uses our services.
Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to your local law or regulation.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms then, you may not access our services.
Ladder is not a financial adviser, and the services provided are not intended to offer financial or investment advice. We understand that each individual's financial situation is unique, and therefore, we do not make any representations, warranties, or guarantees that these services will be suitable for your specific circumstances. We recommend consulting a financial adviser for tailored advice and to gather any additional information you may need before using the services.
1. Introduction
Ladder is a financial technology platform that helps users manage their finances by offering a range of investment and savings solutions through partnerships with licensed entities. It allows users to create and track savings plans, invest in diversified portfolios, and manage their spending with intuitive budgeting tools. Ladder also provides personalized financial guidance through its virtual assistant, helping users make informed decisions and achieve their financial goals. The platform's user-friendly dashboard integrates all these services, empowering users to stay on top of their finances in one place.
2. Beta Service
The service made available to you is part of a "Beta Service" upon your sign-up and acceptance of these Terms. Each Beta Service constitutes a separate and independent agreement under these Terms.
Please note that the Beta Service is in a testing phase, not intended for production use, and may contain bugs or errors. In addition to the disclaimers in these Terms, you acknowledge that the Beta Service is provided on an “AS IS” and “AS AVAILABLE” basis. We reserve the right to modify, revoke, terminate your access to, or discontinue the Beta Service (or any part of it) at any time, at our sole discretion.
Ladder may collect, use, and analyze general information and data from your use of the Beta Service to improve the service quality, or for marketing or publishing aggregated, anonymized data. We may also share certain data with sub-processors during the term of these Terms to enhance the service, and we may collect data from your public-facing website for this purpose.
You agree to make commercially reasonable efforts to provide suggestions, comments, or report any issues related to the Beta Service (“Feedback”) via email, forums, surveys, phone calls, or through Ladder representatives, in a timely manner. You agree to keep this Feedback confidential, and acknowledge that Ladder (or its authorized parties) may freely use, reproduce, license, distribute, or otherwise exploit any Feedback without any obligation to you, without restrictions on intellectual property rights, and without compensation.
In addition to Feedback, you may be asked to provide a testimonial or participate in a case study that could be publicly shared at Ladder’s discretion.
3. Definitions
“Account”
means a unique account registered with the details of the User and which contains details of the User’s transactions/operations on the Platform (as defined below).
“Applicable Laws”
means all applicable regulations, laws, codes, guidelines, policies, rules, and directives of any competent regulatory authority in the Republic of Ghana.
“Platform”
means collectively Ladder’s website hosted at (https://ladder.africa/) and other related applications provided by Ladder.
“Service(s)”
means all Beta products and services provided to you by Ladder and as described in clause 4 of these Terms.
“User”
means persons, and visitors who access the Service(s).
4. Acceptance of Terms
The Service is offered subject to acceptance of all the terms and conditions contained in these Terms and all other operating rules, policies, and procedures that may be published on the Platform, which are incorporated by reference, including operating rules, policies, and procedures of third-party service providers to the Platform that are referenced herein. These Terms apply to every user of the Service(s).
In addition, some Services offered through the Platform may be subject to additional terms and conditions adopted by the Platform. Your use of those Services is subject to those additional terms and conditions, which are incorporated into these Terms by this reference.
Ladder reserves the right, at its sole discretion, to modify or replace these Terms from time to time by posting the updated terms on the Platform. It is your responsibility to check the Terms periodically for changes. If you object to any such changes, your sole recourse will be to cease using the Platform and the Service. Your continued use of the Service following the posting of any changes to the Terms will indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
Ladder reserves the right to change, suspend, or discontinue the Service (including, but not limited to, the availability of any feature, database, or content) at any time for any reason. Ladder may also impose limits on certain features and Services or restrict your access to parts of or the entire Platform without notice or liability.
5. Scope of Ladder’s Services
5.1. Ladder provides Users with access to various investment products, through partnerships with licensed entities, which allows Users to invest in US bonds, offering a stable way to grow savings, and provides curated investment opportunities across diverse asset classes, which allow Users to make informed and structured financial decisions based on their risk tolerance and goals.
5.2. Ladder offers three distinct savings plans to its Users:
5.2.1. a flexible savings plan in US dollars where users can withdraw their funds at any time.
5.2.2. a targeted savings solution allowing users to save towards specific goals in US dollars and track their progress.
5.2.3. a fixed-period savings plan where users earn interest on their locked funds, which are inaccessible until the end of the specified term.
5.3. Ladder’s spending feature allows Users to monitor and track their financial inflows and outflows. It provides tools for Users to create budgets, helping them stay on top of their spending goals and maintain control over their finances.
5.4. Ladder’s virtual financial assistant: Lady AI, provides Users with personalized advice on savings goals, financial reports, using artificial intelligence and tailored strategies to help them achieve their objectives. Lady AI functions as a financial coach, offering ongoing support and guidance to Users.
5.5. Our Services can be accessed through our website and mobile applications.
5.6. Ladder provides individual Accounts for Users. To access our Services, Users are required to sign up on the Platform and create an Account by providing their name, email address, and phone number and setting up a password.
5.7. Each User granted access to use the Platform has a responsibility to ensure that no third party shall gain access to the User’s Account information.
5.8. Ladder may make access to the Platform and the Services, or certain areas or features of the Platform, subject to certain conditions or requirements, such as meeting specific eligibility criteria.
5.9. You must be at least 18 years old and able to enter into legally binding contracts to access and use our Services. By accessing or using the Platform, you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract.
5.10. Ladder does not assume any responsibility for the confirmation of any User’s identity or ownership of a business. Notwithstanding the above, for transparency and as permitted by Applicable Laws, we may ask Users to provide a form of government identification or other information or undertake additional checks designed to help verify the identities or backgrounds of the Users and their ownership of the businesses.
5.11. You agree to strictly observe the security and authentication procedures of the Platform and you will log out from the Platform at the end of every visit.
5.12. When you create an Account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account on our Platform and the Service.
5.13. We reserve the right not to open an account for a potential or to discontinue rendering our service to a User. Ladder shall be exempted from any liability resulting from the discontinuance of service.
6. Accounts
6.1. To initiate and commence the use any of our Services, all Users must sign up by registering an Account on the relevant Platform.
6.2. To sign up, Users are required to provide information such as their full name, email address and phone number, financial information (such as bank account details, e-wallet information, income details, and financial goals), or such other details which may be required by Ladder from time to time.
6.3. Users are also required to create a password which will be used to access the User's Account on the Platform.
6.4. You must provide accurate, current and complete information during the registration process and always keep your Account information up to date.
6.5. You are responsible for safeguarding the password that you use to access the Services on the Platform and for any activities or actions under your password, whether your password is with our Service or a third-party service.
6.6. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.
6.7. You may not use as a username, the name of another person or entity or a name that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
6.8. You are liable for all activities conducted through your Account.
6.9. You are responsible for what happens with your Account and Ladder will not intervene in disputes between Users who have shared account login credentials.
6.10. You must notify us immediately upon learning that someone else may be using your Account without your permission (or if you suspect any other breach of security) by contacting our support team or help desk.
6.11. You agree to strictly observe the security and authentication procedures of the website/service and you will log out from the website by taking proper steps at the end of every visit.
6.12. When you create an account with us, you must provide us with information that is accurate, complete, and current always. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account on our Service.
7. User Obligation
In your use of our Services, you shall:
7.1. comply with all Applicable Laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
7.2. provide accurate information to us, whether reported directly or through a third party who you authorize, and keep it updated;
7.3. maintain the confidentiality of your account credentials. You are responsible for any activities that occur under your account. Notify Ladder immediately of any unauthorized access or security breaches related to your account;
7.4. use the Services solely for your personal, non-commercial use. Engage with the Services in a professional manner and refrain from any misuse, including but not limited to providing false information, attempting to reverse engineer the system, or exploiting any potential vulnerabilities in the platform;
7.5. hereby consent to the collection, use, and processing of your data in accordance with our Privacy Policy. This includes the use of data for AI-driven services and financial recommendations provided by LADY AI;
7.6. provide accurate and complete information about yourself for your profile and keep your password confidential; and
7.7. utilize the Services in a professional and ethical manner, respecting the integrity and functionality of the platform. Avoid engaging in any conduct that could disrupt, harm, or otherwise negatively impact the Services or other Users.
8. Information
8.1. You agree to grant Ladder an irrevocable right to collect and use any information you provide Us, or we collect from You, for the specific purpose of providing you with our services.
8.2. You hereby agree and authorise us to verify the information provided by you, including but not limited to your name, email address, phone number, date of birth, residential address, and any other information necessary to identify you and comply with the regulatory “Know Your Customer” (KYC) requirements applicable in your country.
8.3. Ladder reserves the right to request additional information from you regarding the creation or use of your Account at any time. Failure to provide such information within the required time may result in Ladder declining your request or delaying the creation of your Account.
8.4. You consent that we may disclose and/or transfer your information to third parties or any other entity we deem necessary to fulfill our obligations to you under this Agreement.
8.5. All other provisions regarding the use of your personal information are contained in our Privacy Policy..
9. Submissions
If you submit to us or post through our Services any testimonial, Feedback, comment, review, suggestion, or any work of authorship (collectively a “submission”), including without limitation, submissions about any of our products or services, you agree that such submissions may be used by us in any manner. Please do not make or send any submission to us that you consider containing confidential or proprietary information. No submission sent to us shall be treated or considered as confidential information.
9.1. represent and warrant to us that the submission is original to you, that no other party has any rights thereto, and that any moral rights in such submission have been waived; and
9.2. that you grant to us a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully transferable, assignable and sublicensable right and license to use, reproduce, publish, distribute, display, translate, summarise, modify and adapt such submission (in whole or in part) and or/to incorporate it in other works in any form, media, or technology now known or later developed, in our sole discretion, with or without your name.
10. Payment
10.1. All Users shall be required to provide accurate financial information for our payment service providers. Each User warrants to provide complete and accurate payment information, ensuring that all details are correct at the time of the transaction.
10.2. Payments to Ladder shall be made through the payment methods provided on the Platform, including Mobile Money (MoMo) and linked debit cards. Ladder will use the payment method you select, and payments shall be processed in the applicable currency.
10.3. Payments processed by Ladder shall include any applicable taxes and additional fees, such as processing fees or currency conversion costs, which shall be borne by the User.
10.4. Ladder shall notify you of the applicable price for the Service and reserves the right to adjust its pricing where necessary. Any changes in pricing will be communicated prior to your transaction, and by proceeding with the payment, you expressly agree to the updated charges.
10.5. By providing your debit card, Mobile Money account details, or other payment information accepted by our payment service providers, you expressly agree that we are authorized to charge the relevant fees for your use of the Services, together with any applicable taxes. You are responsible for ensuring that sufficient funds are available to complete the payment transaction.
10.6. Payment Process
10.6.1. Users selecting MoMo as their preferred payment method will be prompted to enter their account details and the desired deposit amount. Once the transaction is initiated, the Platform will prompt the MoMo account to confirm the payment. Upon the User’s approval, the payment will be processed, and the funds will be reflected in the User’s Account balance immediately.
10.6.2. Users opting to pay with a debit card must enter their card details, including the card number, expiration date, and CVV code. The payment gateway will verify the provided information, and upon successful authorization, the transaction will be processed, with the User’s Account balance updated in real-time.
10.7. Payment Rejections:
10.7.1. MoMo payments may be rejected due to reasons including insufficient funds, incorrect account details, or refusal by the MoMo service provider. In the event of a rejected payment, the User will receive an error notification, specifying the reason for the failure, and may attempt the transaction again after resolving the issue.
10.7.2. Debit card payments may be rejected due to expired cards, incorrect card details, or insufficient funds. Upon rejection, the User will receive a notification explaining the reason for the failure, and the User can correct the details or select another payment method. No funds will be deducted from the User’s account in the event of a failed transaction.
10.8. Refunds & Withdrawals
10.8.1. Users can request a withdrawal from funds available in their Account balance at any time. Upon initiating a withdrawal request, the User will receive a confirmation prompt to approve the withdrawal. Once the User confirms, the transaction will be processed, and the User’s balance will be updated in real-time.
10.9. Ladder utilizes third-party payment processors to link your debit card or Mobile Money account to the Platform. Payment processing and other services related to your use of the Platform are subject to the terms, conditions, and privacy policies of the respective payment processors and your financial service provider, in addition to these Terms.
10.10. Ladder strives to ensure the availability of its payment services at all times, but cannot guarantee uninterrupted access or the absence of errors. Ladder shall not be responsible for any errors or liabilities resulting from the actions of third-party payment processors or other external service providers.
10.11. Ladder reserves the right to review any transaction and may request further details regarding a payment. In the event of a review, the funds involved in the transaction may be temporarily retained by Ladder until the review is complete. If the reviewed transaction does not meet the necessary requirements, the funds will be returned to the sender, net of any applicable refund fees.
10.12. If you disagree with any payment transaction, you may submit a complaint through the support feature on the Platform or via to [email protected] within thirty (30) days of the transaction ("Dispute Period"). Failure to do so within the Dispute Period may result in Ladder being unable to resolve the issue.
11. Intellectual Property
11.1. The Service and all rights in our product name, trade names, logos, service marks, slogans, product packaging, its original content, features and functionality are and will remain the exclusive property of Ladder. Our trademarks may not be used in connection with any product or service without our prior written consent.
11.2. Ladder may, at its sole discretion, enable Users to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, or other materials and information on or through the Platform ("User Content"); and (ii) access and view User Content and any content that Ladder itself makes available on or through the Platform, including proprietary content and any content licensed or authorized for use by or through Ladder from a third party ("Ladder’s Content" and together with User Content, "Collective Content").
11.3. You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Platform or Collective Content, except to the extent that you are the legal owner of certain User Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Ladder or its licensors, except for the licenses and rights expressly granted in these Terms.
11.4. Subject to your compliance with these Terms, Ladder grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and view any Collective Content made available on or through the Platform and accessible to you, solely for your personal and non-commercial use.
11.5. Users shall not directly or indirectly: (i) decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the extent applicable laws specifically prohibit such restriction; (ii) modify, translate, or otherwise create derivative works of any part of the Service; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder.
12. Prohibited Activities
12.1. You shall not use the Platform for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Service. Violation of our rules may result in the termination and cancellation of your Account. You acknowledge and agree that we may terminate any Ladder Account at any time for any reason (including, but not limited to, our independent assessment or the receipt of claims or allegations from third parties or authorities).
12.2. Each User shall operate and use only 1 (one) account. Multiple accounts belonging to a single User shall be closed without recourse to the User. Where such account closure happens, Ladder shall be exempted from any liability resulting from the closure.
12.3. Users shall not utilise the Platform or the Services for any illegal purpose.
12.4. You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Services. In connection with your use of the Platform, you will not and will not assist or enable others to:
12.5. You acknowledge that Ladder has no obligation to monitor the access to or use of the Platform by any User or to review, disable access to, or edit any User Content, but has the right to do so to (i) operate, secure and improve the Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Users’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) respond to User Content that it determines is harmful or objectionable; or (v) as otherwise set forth in these Terms. Users agree to cooperate with and assist Ladder in good faith, and to provide Ladder with such information and take such actions as may be reasonably requested by Ladder with respect to any investigation undertaken by Ladder or a representative of Ladder regarding the use or abuse of the Platform.
13. Your Responsibilities
13.1. You are responsible for checking, confirming and satisfying yourself as to the accuracy of any information provided on our Platform.
13.2. You are responsible for ensuring that you act in good faith towards other parties.
14. Links to Other Websites
14.1. The Platform may contain links to third-party websites or services that are not owned or controlled by Ladder.
14.2. Ladder has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Ladder shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
15. Indemnity
You agree to indemnify and hold harmless Ladder, its affiliates and subsidiaries, its officers, directors, employees and agents, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:
15.1. your fraudulent or illegal use of the Services or the Platform;
15.2. your negligence or any default by you of any of these Terms;
15.3. any inaccurate or incomplete information that you have knowingly provided to us;
15.4. you allowing any other person to access your Account either with your permission or as a result of your failure to keep your username and password private;
15.5. any claim made against you for actual or alleged infringement of Ladder’s Intellectual Property or any actual or alleged infringement of a third party’s Intellectual Property arising out of or in connection with our Services or your use of the Platform.
16. Limitation of Liability
In no event shall Ladder, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
16.1. your use of the Platform or the Services or your inability to use the Platform or the Services;
16.2. any conduct or content of any third party on the Platform;
16.3. any unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose;
16.4. any legal proceedings between the you and any third parties.
17. Disclaimer
17.1. Your use of the Service is at your sole risk. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. The Platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
17.2. Ladder, its subsidiaries, affiliates, and its licensors do not warrant that a) the Platform will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Platform is free of viruses or other harmful components; or d) the results of using the Platform will meet your requirements.
17.3. You understand and acknowledge that the financial results, savings goals, and personalized strategies provided by Lady AI, including investment insights and financial reports, cannot be guaranteed, and Ladder cannot be held responsible. All financial decisions, including investments, savings, and budgeting, entail some level of risk, and you may experience losses or not achieve your financial objectives.
17.4. You agree and understand that your use of Lady AI is for educational and informational purposes only and is not intended to provide legal, tax, or comprehensive financial planning advice. As a User, you are responsible for your own financial decisions, including savings, investments, and budgeting. Lady AI is only one of many tools available to assist you in managing your finances, and you should not rely solely on Lady AI as the primary basis for making financial decisions. Except as otherwise provided for herein, Lady AI will not be liable for decisions or actions you take, or authorize third parties to take, based on information or advice received as a User or from our platform.
18. Governing Law
18.1. These Terms shall be governed and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
18.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
19. Dispute Resolution
19.1. Any disputes arising under or in connection with the validity, interpretation, and performance of these Terms between you and Ladder, or between Ladder and any third party, that cannot be resolved amicably by the parties through negotiation within thirty (30) days, shall be resolved by Arbitration at the Ghana Arbitration Centre (GAC) before a single arbitrator, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.
19.2. The Parties shall endeavour in good faith to mutually agree on the selection of an arbitrator. If the Parties cannot mutually agree on the selection of an arbitrator within ten (10) days of the request, they shall apply to the GAC to appoint an arbitrator. Arbitration proceedings shall be conducted in Accra. The arbitrator will be requested to render an award within ninety (90) days and to provide, in writing, the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties.
19.3. Each party shall bear its own costs in connection with the Arbitration, and the arbitrator’s fees shall be split equally between both parties.
20. Force Majeure
Ladder shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, weather, pandemics, epidemics, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control and whether or not of a similar nature to the foregoing.
21. Feedback
We welcome and encourage you to provide feedback, comments and suggestions for improvements to Ladder’s Platform or Services. You may submit your feedback by emailing us at [email protected] . Any feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting your feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.
22. Changes to Terms
Ladder reserves the right, in its sole discretion, to update the Terms to reflect changes. In the event of changes, we will provide you with reasonable notice via e-mail (to registered Users) and pop-up messages displayed on the Platforms in advance of the effective date of the update.
By continuing to use our Services after the effective date of the changes which shall take effect automatically, you accept the updated Terms. If you do not agree to the updated Terms, kindly refrain from using the Services by or before the effective date of the changes.
We will also update the “Last Updated” date at the bottom of these Terms.
